Please read these Terms and Conditions ("Terms") carefully before using groovetoast.studio (the "Site") operated by Groovetoast ("we," "us," or "our").

By accessing our Site, submitting a project inquiry, subscribing to our newsletter, or purchasing a digital product, you agree to be bound by these Terms. If you do not agree, please do not use our Services.

1. Overview of Services

Groovetoast provides the following through this Site:

  • A project inquiry form for prospective clients to request our services

  • A newsletter you may voluntarily subscribe to

  • An online shop selling digital products (the "Products")

2. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to purchase Products or submit a project inquiry through our Site. By using our Services, you represent that you meet this requirement.

3. Project Inquiries

Submitting a project inquiry does not create a binding contract for services. It is an expression of interest only. Any actual engagement for services will be governed by a separate agreement, proposal, or contract mutually agreed upon by both parties, which will include its own scope, pricing, and terms.

We are under no obligation to accept any project inquiry.

4. Newsletter

By subscribing to our newsletter, you consent to receive periodic emails from us. You may unsubscribe at any time using the link provided in every email. See our Privacy Policy for how we handle your information.

5. Digital Products

a) Nature of Products

All Products sold through our Site are digital goods delivered electronically (e.g., downloads, Notion templates, pdf, videos, etc). No physical goods are shipped.

b) License, Not Sale

Unless otherwise stated on the specific product page, when you purchase a Product, we grant you a non-exclusive, non-transferable, revocable license to use the Product for your own personal use. You may not:

  • Resell, redistribute, or share the Product with third parties

  • Claim the Product as your own original work

  • Use the Product to create a directly competing product, unless explicitly permitted

All intellectual property rights in the Products remain with Groovetoast unless otherwise agreed in writing.

c) Pricing and Payment

  • All prices are listed in USD and are subject to change without notice.

  • Payment is processed securely through our third-party payment processor, Stripe, PayPal, Squarespace Payments.

  • We do not store your full payment card details.

d) Delivery

Digital Products are typically delivered immediately upon purchase via email/download link. It is your responsibility to provide a valid email address and to ensure delivery emails are not blocked by spam filters.

e) Refunds and Cancellations

Due to the digital nature of our Products, all sales are final and non-refundable, except where required by applicable law.

Note: consumers in the EU/UK may have statutory rights to cancel digital purchases under distance selling regulations unless you expressly waive that right at the point of purchase with informed consent — consult a lawyer on this point if you sell to EU/UK customers.

6. Acceptable Use

When using our Site or Products, you agree not to:

  • Violate any applicable law or regulation

  • Infringe on our intellectual property or that of any third party

  • Attempt to gain unauthorized access to our systems

  • Use automated means (bots, scrapers) to access the Site without permission

  • Upload or transmit any harmful code, viruses, or malicious content

  • Use our Products for any unlawful or fraudulent purpose

We reserve the right to suspend or terminate access to our Services for anyone who violates these Terms.

If you submit information through our project inquiry form or elsewhere on the Site, you represent that:

  • You have the right to share that information

  • The information is accurate and not misleading

  • Your submission does not infringe any third party's rights

We may use information submitted through inquiry forms solely to evaluate and respond to your request, as described in our Privacy Policy.

9. Third-Party Links and Services

Our Site may contain links to third-party websites or use third-party services (e.g., payment processors, email platforms). We are not responsible for the content, policies, or practices of any third-party sites or services. Your use of third-party services is subject to their own terms and privacy policies.

Our Site and Products are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee that:

  • The Products will meet your specific requirements or expectations

  • Any errors will be corrected

11. Limitation of Liability

To the fullest extent permitted by law, Groovetoast shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising from:

  • Your use of or inability to use our Services

  • Any Products purchased through the Site

  • Unauthorized access to or alteration of your data

Our total liability for any claim arising from these Terms or your use of the Services shall not exceed the amount you paid us in the 6 months preceding the claim.

(Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so some of the above limitations may not apply to you.)

12. Indemnification

You agree to indemnify and hold harmless Groovetoast, its owners, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from your violation of these Terms or misuse of our Products or Services.

We reserve the right to suspend or terminate your access to our Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Oregon, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Multnomah County.

15. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with a revised "Last Updated" date. Continued use of the Site or Products after changes are posted constitutes your acceptance of the revised Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
